Membership Terms and Public Offer
These terms are written for the Deep Conversation Club membership: small online discussions, shared reading, guiding questions, and a private Discord community.
1. Definitions and scope
1.1. These Membership Terms and Public Offer (the “Terms”) are an offer by the operator identified in section 16 (“we”, “us”, or the “Organizer”) to an adult who purchases or uses a Deep Conversation Club membership (“you” or the “Member”).
1.2. The “Club” means the online discussion membership operated under the Deep Conversation Club trading name. A “Membership” is the personal, time-limited right to use the Club during a paid billing period. “Platform” means Zoom, Discord, WayForPay, or another third-party service reasonably selected to deliver or administer the Membership. “Billing period” means the month or year paid for under the plan selected at checkout.
1.3. These Terms govern the website, checkout, scheduled online conversations, Club materials, and the private Discord community. The Privacy Policy is incorporated into these Terms for matters concerning personal data.
2. Public offer and formation of the agreement
2.1. These Terms constitute a public offer. Please read them, the Privacy Policy, and the plan information displayed before payment. If you do not agree, do not complete the purchase or use the Club.
2.2. You accept this offer and enter into an electronic agreement with the Organizer when you complete payment or take another clear action presented as acceptance during checkout. Acceptance is complete when the payment provider confirms the transaction. No paper signature is required.
2.3. The plan, billing period, price, currency, promotional conditions, schedule information, and other service details displayed on the website and at checkout at the time of purchase form part of the agreement. The payment or order confirmation is electronic evidence of the transaction.
3. Subject and contents of the Membership
3.1. The Organizer agrees to provide the online Membership selected and paid for by the Member, and the Member agrees to pay the displayed price and follow these Terms.
3.2. An active Membership normally includes two scheduled Zoom conversations each month, small discussion rooms planned for approximately 3–4 people, a short essay read during the call, guiding questions, and access to the private Discord community. Additional or duplicate time slots may be offered as the Club grows. Actual room size may vary because of attendance, late cancellations, or technical circumstances.
3.3. The current dates, time zone, duration, plan contents, and any founding-member promotion are displayed on the website. Nothing needs to be prepared in advance unless the Organizer clearly says otherwise for a particular conversation.
3.4. Meetings are social and informational. The Club is not therapy, medical or psychological care, coaching, legal or financial advice, or another licensed professional service. No particular personal, social, or professional result is promised.
4. How the services are provided
4.1. Membership starts after the payment provider confirms the first successful payment. We will provide joining information and Discord access without unreasonable delay using the email address or other contact details supplied by the Member.
4.2. Zoom links, schedule notices, service messages, and reasonable changes may be sent by email, through Discord, or through another contact channel the Member has provided. A notice is considered delivered when sent to the latest contact details supplied by the Member, unless we receive a delivery failure.
4.3. The service is provided throughout the paid billing period by keeping the agreed Club access available and holding the announced conversations. Once access and joining information have been provided, the Member’s decision not to use them does not mean that the service was not provided.
4.4. The Member is responsible for checking schedule messages and joining Zoom at the announced time. Recordings are not included unless expressly announced. The Organizer may use facilitators or contractors while remaining responsible for delivering the Membership.
5. Eligibility, Member information, and access security
5.1. You must be at least 18 years old and legally capable of entering into this agreement. If you purchase on behalf of another person, you confirm that you are authorized to do so and that the participant will comply with these Terms.
5.2. You must provide accurate, current contact and payment information. Please promptly tell us if the email address or other information used to administer your Membership changes.
5.3. Membership is personal. Do not resell or share it, a Zoom link, a Discord invitation, an access code, or other private Club access. Tell us promptly if you believe access has been compromised. We may replace a link or temporarily restrict access while we investigate a security issue.
6. Price, payment, and automatic renewal
6.1. Membership is paid in advance for the plan selected at checkout. At the publication date of these Terms, the founding plans on the English-language offer are USD 12 per month or USD 100 per year, and the stated regular prices after the founding places are filled are USD 20 per month or USD 200 per year. The price actually displayed and approved at checkout controls the purchase.
6.2. Unless cancelled, a monthly plan renews automatically on the corresponding calendar date each month and a yearly plan on the corresponding date each year. If a month has no corresponding date, renewal may occur on its last day. Each successful renewal creates a new paid billing period.
6.3. Payments are processed through WayForPay or another payment provider identified at checkout. The provider may retry a failed charge under its disclosed rules. We may suspend access while a payment remains unsuccessful and restore it after payment is confirmed.
6.4. The checkout price is the total amount charged by the Organizer in the displayed currency, including applicable taxes where required. A bank or card provider may separately apply exchange-rate, cross-border, or other fees outside the Organizer’s control.
6.5. A founding price remains locked to the Member’s continuous, uninterrupted subscription and applies to its renewals while it stays active. If the Member cancels and later rejoins, the price then displayed for a new Membership applies. Any other change to an active Member’s renewal price will be communicated before the affected charge with a reasonable opportunity to cancel.
7. Cancellation and access after cancellation
7.1. You may turn off automatic renewal yourself through your WayForPay account or send a cancellation request to alx.tkach7@gmail.com. An email request must identify the Membership and be sent no later than two calendar days before the next scheduled charge so that we have time to process it. We will confirm cancellation electronically.
7.2. Cancellation stops future automatic charges only. It does not reverse a transaction already completed and, by itself, does not create a refund for the current paid billing period.
7.3. Unless an eligible refund is issued under section 8 or access is ended for a serious breach under section 11, the Member keeps access to scheduled conversations and Discord through the last day of the paid billing period. The agreement ends for the future when that period expires.
7.4. If a charge occurs after a timely cancellation request because of an error by the Organizer, contact us promptly. After verification, we will reverse or refund that erroneous charge without unreasonable delay.
8. Refund policy
8.1. General rule. Except for the promotional guarantee in clause 8.2, a failure by the Organizer described in clause 8.6, or a refund required by mandatory law, a payment for a current or completed billing period is non-refundable. Cancellation under section 7 affects future renewals and is not a refund request.
8.2. Promotional 30-day guarantee. If a 30-day money-back guarantee was displayed on the website when you made your first Membership payment, you may request a full refund of that first payment within 30 calendar days after it. No reason is required. The guarantee applies once per person and does not restart after renewal, a plan change, cancellation, or later rejoining.
8.3. How to request a refund. Email alx.tkach7@gmail.com from the address used for purchase and state your name, plan, approximate payment date, and the transaction number or receipt if available. This information is used only to locate and verify the payment. We may ask for additional information reasonably necessary to prevent fraud or complete the refund, but we will not require irrelevant documents.
8.4. Processing. We will review a complete request without unreasonable delay. For an eligible 30-day guarantee request, we will initiate a full refund to the original payment method, where technically possible, no later than 14 calendar days after receiving the information reasonably needed to verify it. If the original method cannot accept the refund, we will agree on another lawful method. The bank or payment provider may need additional time to credit the funds. Membership and Discord access end when the refund is issued.
8.5. Situations that do not create a refund right. Subject to mandatory law, no refund is due merely because the Member did not attend a call, did not use Discord or other available access, forgot to cancel before renewal, experienced a problem with their own device or internet connection, or was removed for a material breach of these Terms. Dissatisfaction with a discussion, another participant, or the absence of a promised personal result also does not by itself make a payment refundable.
8.6. Failure or cancellation by the Organizer. If we cancel a conversation, we will normally offer a reasonable replacement. If we cannot provide a replacement, or if paid Club access is unavailable because of a problem within our reasonable control for a material part of the billing period, the Member may request a proportionate credit or refund for the affected part. If the Organizer permanently ends the Club before the end of a prepaid period, we will refund the portion paid for the period that will not be provided.
8.7. Mandatory rights. Nothing in this section restricts a refund, price reduction, termination right, charge correction, or other remedy that cannot lawfully be excluded. Where mandatory law gives the Member a more favorable remedy, that law prevails.
9. Schedule changes, missed calls, and technical requirements
9.1. You are responsible for joining at the announced time with a stable internet connection, a compatible device, working audio, and a current version of Zoom or a supported web browser. You are responsible for any data or internet charges from your provider.
9.2. If you miss a conversation, arrive late, or cannot join for a reason on your side, we are not required to repeat the call, provide a recording, or refund part of the Membership. We may help with access where reasonably possible, but cannot guarantee support after a call has started.
9.3. We may reasonably change a topic, facilitator, platform, date, or time where operationally necessary. We will give advance notice where practicable and preserve the essential purpose and overall value of the Membership.
9.4. If a call is interrupted by a Platform outage, power failure, air raid alert, security incident, or similar event, we may continue later, reschedule it, or provide another reasonable replacement. Refunds in the absence of a reasonable replacement are governed by clause 8.6.
10. Privacy and confidentiality inside conversations
10.1. Deep conversations depend on trust. Do not record, photograph, screenshot, transcribe, quote, identify, or share another participant’s story or personal information outside the room without that person’s specific permission.
10.2. The Organizer does not record Club conversations by default. If recording is ever proposed, every affected participant will receive advance notice, and recording will require specific consent. A person who does not consent must be able to avoid being recorded.
10.3. Other people in the room will see and hear the information you choose to share. We establish and enforce confidentiality rules but cannot guarantee that every participant will comply. Share accordingly and report a privacy or safety concern promptly.
10.4. Our handling of personal data, payment information, service messages, and third-party providers is explained in the Privacy Policy.
11. Community conduct, moderation, and termination
11.1. Treat Members, facilitators, and staff with dignity. Harassment, hate speech, threats, persistent unwanted contact, discrimination, doxxing, spam, unauthorized promotion, deliberate disruption, impersonation, and illegal or infringing content are prohibited. Participation is voluntary: no one may pressure another person to disclose personal information or answer a question.
11.2. We may remove content, warn or mute a Member, move a Member between rooms, or temporarily restrict access when reasonably necessary to protect participants or operate the Club. We will normally explain the reason and allow correction where the issue is minor and can be corrected.
11.3. A serious safety or privacy violation, access sharing, fraud, unlawful conduct, or repeated material breach after warning may result in immediate removal or termination of Membership. We will act proportionately. A refund after termination for the Member’s material breach is available only to the extent required by clause 8.7 or otherwise expressly approved by the Organizer.
11.4. The Organizer may end the agreement if the Club is discontinued, if continued performance becomes unlawful, or if a prolonged event outside reasonable control makes performance impracticable. We will provide reasonable notice where possible and apply clause 8.6 to any prepaid service that will not be provided.
12. Club materials and intellectual property
12.1. The Organizer’s original questions, guides, layouts, branding, and other Club materials remain the Organizer’s intellectual property. Third-party essays and other works remain the property of their respective rights holders and are used or linked under the applicable permission or legal basis.
12.2. During an active Membership, you receive a limited, personal, non-exclusive, non-transferable, non-commercial right to use the materials for participation in the Club. No ownership or other intellectual-property right is transferred.
12.3. Do not sell, publish, copy for distribution, upload, sublicense, adapt for a competing product, or give another person access to Club materials, Discord spaces, or meeting links without written permission. Ordinary personal notes are permitted if they do not disclose another Member’s confidential information.
13. Third-party services and events outside reasonable control
13.1. The Club uses third-party services, including WayForPay, Zoom, Discord, email tools, and website hosting and security providers. Their own terms and privacy practices also apply when you use them. The Organizer does not control their independent systems but remains responsible for the obligations that applicable law places on the Organizer.
13.2. Neither party is liable for delay caused by an event genuinely outside its reasonable control, including a widespread Platform outage, power or communications failure, cyberattack, natural disaster, epidemic, government restriction, air raid alert, or hostilities, provided that the affected party takes reasonable steps to reduce the effect and resume performance.
13.3. An event outside reasonable control suspends the affected obligation only for as long as performance is prevented. It does not remove payment or refund obligations that arose earlier or any remedy that mandatory law requires. Rescheduling and refunds are handled under clauses 9.4 and 8.6.
14. Responsibility and mandatory consumer rights
14.1. Each party is responsible for its own breach of these Terms and for direct loss caused by that breach to the extent established by applicable law. Nothing excludes liability or consumer rights that cannot lawfully be excluded or limited.
14.2. To the extent permitted by law, the Organizer is not responsible for indirect or unforeseeable loss, another Member’s independent conduct, the Member’s decisions based on a discussion, or failure caused by the Member’s device, connection, credentials, or breach of these Terms.
14.3. The Organizer does not promise uninterrupted access to every third-party Platform or a particular group composition, facilitator, discussion outcome, or personal result. This clause does not excuse a failure to provide the essential paid service or restrict the remedies in section 8.
15. Changes, complaints, governing law, and final provisions
15.1. We may update these Terms for future purchases. The version accepted when a payment is made governs that billing period. A material change affecting an active subscription will be communicated before it takes effect where required. Changes required by law, security, or privacy obligations may apply sooner, but will not retroactively remove an accrued right.
15.2. A question, cancellation, refund request, or complaint may be sent to alx.tkach7@gmail.com. Please include enough information to identify the Membership and explain the issue. We will normally provide a reasoned electronic response within 14 calendar days.
15.3. These Terms and the agreement are governed by the laws of Ukraine. The parties should first try to resolve a dispute through written communication. Nothing requires the Member to give up the right to contact a consumer-protection authority or bring a claim before a court that has jurisdiction under mandatory law.
15.4. If a provision is invalid or unenforceable, it will be limited only as far as necessary and the remaining provisions continue to apply. A delay in enforcing a right does not waive it. Provisions concerning payments, refunds, confidentiality, intellectual property, responsibility, and disputes survive to the extent needed after the agreement ends.
